Postpartum Doula Services Agreement

This agreement outlines the terms and conditions under which Fox & Cub Family Wellness, Inc. (“Fox & Cub Family Wellness”) will coordinate postpartum doula support for the undersigned client(s).


Independent Contractor Relationship

All postpartum doulas who provide services through Fox & Cub are independent contractors, not employees of the agency. Each doula may have their own professional agreements, training, and style of support. Fox & Cub coordinates scheduling, billing, and administrative support, but each doula is solely responsible for the specific services they provide.


Nature of Doula Services

Every doula is unique in the support they provide. Some doulas offer traditional postpartum care only, while others may also provide holistic offerings such as belly binding, moxibustion, herbal supports, or other wellness practices. Clients understand that the scope of support will vary depending on the assigned doula and that Fox & Cub does not guarantee specific offerings.


Liability

Fox & Cub Family Wellness, Inc. acts as a coordinating agency and is not liable for the actions, omissions, or care provided by any independent contractor doula. Postpartum doulas are non-medical professionals and do not diagnose, treat, or provide medical care. Families assume responsibility for the decisions they make while receiving doula support.


Exclusivity of Doula Relationship

Clients agree that all care arrangements with doulas introduced through Fox & Cub Family Wellness, Inc. must go through the agency. This includes, but is not limited to, postpartum doula support, sleep consulting, lactation counseling, fitness coaching, holistic wellness services, or any other offerings the doula may provide.

If a client bypasses Fox & Cub and contracts directly with a doula introduced through the agency, the client agrees to pay a liquidated damages fee of $15,000 to Fox & Cub Family Wellness, Inc. This fee reflects the significant investment of time, training, and resources made by Fox & Cub to source and provide quality doulas.

Non-Solicitation Period
Clients further agree not to engage, hire, or contract directly with any Fox & Cub-affiliated doula for any paid services for a period of twelve (12) months following the completion of their contract with Fox & Cub. All extensions of care or new service agreements must be arranged directly through Fox & Cub Family Wellness, Inc.


Continuation of Care

  • If you would like to sign a new contract with your doula after the initial care period ends, this must be arranged through Fox & Cub Family Wellness, Inc.
  • If your doula is unavailable for extended support, Fox & Cub will restart the intake process to match you with a new, suitable doula. If a suitable replacement doula cannot be found for you during the time of your needed support, your retainer and remaining deposit will be returned to you.
  • You may not request a change of doula during the contract term, unless under extenuating circumstance that needs to be brought to our attention immediately. If your doula experiences an emergency or becomes unavailable, Fox & Cub will coordinate a replacement.
  • Safety and Right to Terminate Services: Independent contractors providing doula services through Fox & Cub reserve the unconditional right to discontinue services and leave the client’s premises at any time if, in their sole discretion, they determine that the environment is unsafe, hostile, or otherwise detrimental to their health or well-being. In such circumstances, all fees paid, including the deposit, shall be deemed non-refundable, and neither Fox & Cub nor the independent contractor shall have any further obligation to provide services.

Payment Terms

  • Section X: Payments, Retainer, and Billing Terms
  • Deposit
    Client agrees to pay a non-refundable deposit equal to fifty percent (50%) of the total contract price upon execution of this Agreement. This deposit secures the doula’s availability and is applied toward the first half of contracted services.
  • Balance of Service Fees
    The remaining fifty percent (50%) balance shall be due at the midway point of contracted services, regardless of whether Client elects to utilize the full amount of contracted hours. Client acknowledges that entering into this Agreement constitutes a commitment to the full contract price.
  • Retainer
    In addition to the deposit, Client shall pay a refundable retainer equal to ten percent (10%) of the total contract price, not to exceed five thousand dollars ($5,000). The retainer shall be held by Fox & Cub Family Wellness and returned to Client within fourteen (14) days following the successful completion of all contracted services, provided that all payments have been made in full and no material breach of this Agreement has occurred.
  • Pay-in-Full Incentive
    Clients who elect to pay the entire contract price in full prior to the commencement of services shall receive a five percent (5%) discount on the total contract fee and shall not be required to provide a retainer.
  • Payment Method
    All payments shall be made through Fox & Cub Family Wellness’ invoicing system. Client may utilize credit/debit cards, FSA/HSA cards (subject to administrator approval), or ACH transfer. Should a Client elect to use an FSA or HSA card and the payment is declined for insufficient funds, Client authorizes Fox & Cub to charge the outstanding balance to an alternate payment method provided by Client.
  • Failure to Remit Payment
    Failure to remit any scheduled payment when due shall constitute a material breach of this Agreement. Fox & Cub reserves the right to suspend services, retain deposits and retainers, and pursue collection of outstanding balances.
  • Mileage Charges: Any additional mileage charges must be disclosed by the doula and agreed upon with the Client during the initial meeting, prior to the execution of this Agreement and the collection of the deposit and retainer. If mileage charges are not discussed and documented at that time, the Client shall not be responsible for paying such charges at any later date.

Invoices

  • Clients will receive a formal invoice from Fox & Cub Family Wellness, Inc. at the time of booking.
  • The invoice will reflect:
    • The total contract amount owed
    • The required 50% deposit
    • The required 10% retainer
    • The remaining balance due midway through care
  • The signed contract in combination with the invoice serves as the complete financial agreement between the client and Fox & Cub Family Wellness, Inc.

Acknowledgment

By signing this agreement, the client(s) acknowledge and agree to the terms outlined above, including the independent contractor status of doulas, liability limitations, exclusivity of doula relationships managed through Fox & Cub Family Wellness, Inc., and the payment terms described herein.
