These Terms apply to all users, including both Families and Providers.<\/p><p data-start=\"698\" data-end=\"758\">If you do not agree to these Terms, do not use the Platform.<\/p><hr data-start=\"760\" data-end=\"763\" \/><ol data-start=\"765\" data-end=\"808\"><li data-start=\"765\" data-end=\"808\"><p data-start=\"768\" data-end=\"808\">Platform Role and Relationship Structure<\/p><\/li><\/ol><p data-start=\"810\" data-end=\"968\">Fox &amp; Cub Family Wellness (\u201cFox &amp; Cub,\u201d \u201cwe,\u201d \u201cus,\u201d or \u201cour\u201d) operates a marketplace platform designed to connect Families with independent service Providers.<\/p><p data-start=\"970\" data-end=\"1545\">Providers listed on the Platform are independent contractors, not employees, agents, or representatives of Fox &amp; Cub.<br data-start=\"1087\" data-end=\"1090\" \/>Fox &amp; Cub does not supervise, direct, control, or guarantee services, availability, outcomes, or professional decisions made by Providers.<br data-start=\"1228\" data-end=\"1231\" \/>Providers are solely responsible for their services, communications, pricing, credentials, licensing, taxes, and compliance with applicable laws.<br data-start=\"1376\" data-end=\"1379\" \/>Families independently choose whether to engage with a Provider and are responsible for confirming fit, expectations, and service details directly with that Provider.<\/p><p data-start=\"1547\" data-end=\"1617\">Fox &amp; Cub functions solely as a connection and communication platform.<\/p><hr data-start=\"1619\" data-end=\"1622\" \/><ol start=\"2\" data-start=\"1624\" data-end=\"1661\"><li data-start=\"1624\" data-end=\"1661\"><p data-start=\"1627\" data-end=\"1661\">Membership Requirement (All Users)<\/p><\/li><\/ol><p data-start=\"1663\" data-end=\"1990\">All users of the Platform, including Families and Providers, must maintain an active monthly membership to access Platform features, including messaging and listings.<br data-start=\"1829\" data-end=\"1832\" \/>Membership fees are non-refundable except as required by law.<br data-start=\"1893\" data-end=\"1896\" \/>Fox &amp; Cub may modify membership pricing or features with notice provided through the Platform.<\/p><hr data-start=\"1992\" data-end=\"1995\" \/><ol start=\"3\" data-start=\"1997\" data-end=\"2040\"><li data-start=\"1997\" data-end=\"2040\"><p data-start=\"2000\" data-end=\"2040\">Account Eligibility and Responsibilities<\/p><\/li><\/ol><p data-start=\"2042\" data-end=\"2293\">By using the Platform, you represent that you are at least 18 years old and legally able to enter into these Terms.<br data-start=\"2157\" data-end=\"2160\" \/>Information you provide must be accurate and kept current.<br data-start=\"2218\" data-end=\"2221\" \/>You agree to use the Platform respectfully, lawfully, and in good faith.<\/p><hr data-start=\"2295\" data-end=\"2298\" \/><ol start=\"4\" data-start=\"2300\" data-end=\"2338\"><li data-start=\"2300\" data-end=\"2338\"><p data-start=\"2303\" data-end=\"2338\">Provider Eligibility and Compliance<\/p><\/li><\/ol><p data-start=\"2340\" data-end=\"2712\">Providers represent and warrant that any license, certification, registration, or credential required for their services is valid and in good standing.<br data-start=\"2491\" data-end=\"2494\" \/>Services must be offered within appropriate scope of practice.<br data-start=\"2556\" data-end=\"2559\" \/>All applicable laws, regulations, and professional standards must be followed, including advertising and mandated reporting obligations where applicable.<\/p><hr data-start=\"2714\" data-end=\"2717\" \/><ol start=\"5\" data-start=\"2719\" data-end=\"2755\"><li data-start=\"2719\" data-end=\"2755\"><p data-start=\"2722\" data-end=\"2755\">Categories and Payment Structures<\/p><\/li><\/ol><p data-start=\"2757\" data-end=\"2811\">A) Membership-to-Message Categories (No Fee Splitting)<\/p><p data-start=\"2813\" data-end=\"2879\">For categories including Caregivers, House Cleaners, and Midwives:<\/p><p data-start=\"2881\" data-end=\"3284\">Fox &amp; Cub does not take a commission or split service fees.<br data-start=\"2940\" data-end=\"2943\" \/>Families must hold an active monthly membership to message Providers.<br data-start=\"3012\" data-end=\"3015\" \/>Providers set their own pricing and collect payment outside of Fox &amp; Cub using their own invoicing or payment systems.<br data-start=\"3133\" data-end=\"3136\" \/>Fox &amp; Cub is not a party to, and does not enforce, service agreements, payments, cancellations, refunds, or disputes between Families and Providers.<\/p><p data-start=\"3286\" data-end=\"3325\">B) Insurance-Covered Service Categories<\/p><p data-start=\"3327\" data-end=\"3448\">For insurance-covered services, including but not limited to insurance-covered lactation counseling and licensed therapy:<\/p><p data-start=\"3450\" data-end=\"4021\">Listings may display as $0.<br data-start=\"3477\" data-end=\"3480\" \/>Insurance verification and clinical intake occur outside of the Platform using the Provider\u2019s secure systems.<br data-start=\"3589\" data-end=\"3592\" \/>No Protected Health Information (PHI) may be exchanged through Platform messaging.<br data-start=\"3674\" data-end=\"3677\" \/>After insurance verification, Families must complete a $0 checkout on the Platform before each appointment, for up to eight appointments.<br data-start=\"3814\" data-end=\"3817\" \/>Providers will be invoiced $20 per completed appointment, billed monthly.<br data-start=\"3890\" data-end=\"3893\" \/>Invoices are due within seven calendar days. Late payments may incur a 3% late fee per seven-day period, where permitted by law.<\/p><hr data-start=\"4023\" data-end=\"4026\" \/><ol start=\"6\" data-start=\"4028\" data-end=\"4074\"><li data-start=\"4028\" data-end=\"4074\"><p data-start=\"4031\" data-end=\"4074\">Required Background Check for All Providers<\/p><\/li><\/ol><p data-start=\"4076\" data-end=\"4145\">To create, publish, or maintain any Provider listing on the Platform:<\/p><p data-start=\"4147\" data-end=\"4592\">An active monthly membership is required.<br data-start=\"4188\" data-end=\"4191\" \/>A background check is required for all provider categories.<br data-start=\"4250\" data-end=\"4253\" \/>Once membership is active, Providers may pay a non-refundable $30 background check fee to initiate the background check process.<br data-start=\"4381\" data-end=\"4384\" \/>Listings will not publish until the background check has been completed and returned as clear.<br data-start=\"4478\" data-end=\"4481\" \/>If a background check does not come back clear, the listing will not be approved and no refunds will be issued.<\/p><p data-start=\"4594\" data-end=\"4738\">Fox &amp; Cub reserves the right, where permitted by law, to deny, suspend, or remove listings based on background check results or safety concerns.<\/p><hr data-start=\"4740\" data-end=\"4743\" \/><ol start=\"7\" data-start=\"4745\" data-end=\"4795\"><li data-start=\"4745\" data-end=\"4795\"><p data-start=\"4748\" data-end=\"4795\">Messaging, Responsiveness, and Listing Accuracy<\/p><\/li><\/ol><p data-start=\"4797\" data-end=\"5075\">Providers are expected to respond to Platform messages within 48 hours.<br data-start=\"4868\" data-end=\"4871\" \/>Listings must remain accurate, including availability, service area, and contact preferences.<br data-start=\"4964\" data-end=\"4967\" \/>Providers must pause or remove listings if they are no longer accepting clients or offering listed services.<\/p><hr data-start=\"5077\" data-end=\"5080\" \/><ol start=\"8\" data-start=\"5082\" data-end=\"5115\"><li data-start=\"5082\" data-end=\"5115\"><p data-start=\"5085\" data-end=\"5115\">Prohibited Conduct (All Users)<\/p><\/li><\/ol><p data-start=\"5117\" data-end=\"5519\">Users may not misrepresent credentials, services, availability, pricing, or experience.<br data-start=\"5204\" data-end=\"5207\" \/>Users may not exchange PHI through Platform messaging.<br data-start=\"5261\" data-end=\"5264\" \/>Users may not use the Platform for unlawful, harmful, fraudulent, or abusive activity.<br data-start=\"5350\" data-end=\"5353\" \/>Users may not harass, discriminate against, or endanger others.<br data-start=\"5416\" data-end=\"5419\" \/>Users may not circumvent required Platform workflows once a connection is made through the Platform.<\/p><hr data-start=\"5521\" data-end=\"5524\" \/><ol start=\"9\" data-start=\"5526\" data-end=\"5565\"><li data-start=\"5526\" data-end=\"5565\"><p data-start=\"5529\" data-end=\"5565\">Enforcement, Suspension, and Removal<\/p><\/li><\/ol><p data-start=\"5567\" data-end=\"5811\">Fox &amp; Cub may suspend or terminate accounts or memberships, remove or restrict listings, or limit Platform access where permitted by law.<br data-start=\"5704\" data-end=\"5707\" \/>These actions may be taken with or without notice to protect safety, compliance, and Platform integrity.<\/p><hr data-start=\"5813\" data-end=\"5816\" \/><ol start=\"10\" data-start=\"5818\" data-end=\"5833\"><li data-start=\"5818\" data-end=\"5833\"><p data-start=\"5822\" data-end=\"5833\">Disclaimers<\/p><\/li><\/ol><p data-start=\"5835\" data-end=\"6051\">Fox &amp; Cub does not guarantee matches, messages, bookings, or outcomes.<br data-start=\"5905\" data-end=\"5908\" \/>Fox &amp; Cub does not guarantee the conduct, identity, or suitability of any user.<br data-start=\"5987\" data-end=\"5990\" \/>All services are provided solely by Providers, not Fox &amp; Cub.<\/p><hr data-start=\"6053\" data-end=\"6056\" \/><ol start=\"11\" data-start=\"6058\" data-end=\"6085\"><li data-start=\"6058\" data-end=\"6085\"><p data-start=\"6062\" data-end=\"6085\">Limitation of Liability<\/p><\/li><\/ol><p data-start=\"6087\" data-end=\"6277\">To the maximum extent permitted by law, Fox &amp; Cub is not liable for indirect, incidental, consequential, or punitive damages arising from use of the Platform or services arranged through it.<\/p><hr data-start=\"6279\" data-end=\"6282\" \/><ol start=\"12\" data-start=\"6284\" data-end=\"6303\"><li data-start=\"6284\" data-end=\"6303\"><p data-start=\"6288\" data-end=\"6303\">Indemnification<\/p><\/li><\/ol><p data-start=\"6305\" data-end=\"6487\">You agree to indemnify and hold harmless Fox &amp; Cub from claims arising from your use of the Platform, your services or communications, or violations of these Terms or applicable law.<\/p><hr data-start=\"6489\" data-end=\"6492\" \/><ol start=\"13\" data-start=\"6494\" data-end=\"6521\"><li data-start=\"6494\" data-end=\"6521\"><p data-start=\"6498\" data-end=\"6521\">Governing Law and Venue<\/p><\/li><\/ol><p data-start=\"6523\" data-end=\"6660\">These Terms are governed by the laws of the State of California.
