Fox & Cub Marketplace Terms & Conditions
Effective Date: December 1, 2025

These Marketplace Terms & Conditions (“Terms”) govern access to and use of the Fox & Cub Marketplace platform (the “Platform”), including creating an account, maintaining a membership, viewing or publishing listings, and communicating through the Platform.

By creating an account, purchasing a monthly membership, browsing listings, messaging, or otherwise using the Platform, you (“Member,” “you,” or “your”) agree to these Terms. These Terms apply to all users, including both Families and Providers.

If you do not agree to these Terms, do not use the Platform.

1. Platform Role and Relationship Structure

Fox & Cub Family Wellness (“Fox & Cub,” “we,” “us,” or “our”) operates a marketplace platform designed to connect Families with independent service Providers.

Providers listed on the Platform are independent contractors, not employees, agents, or representatives of Fox & Cub.
Fox & Cub does not supervise, direct, control, or guarantee services, availability, outcomes, or professional decisions made by Providers.
Providers are solely responsible for their services, communications, pricing, credentials, licensing, taxes, and compliance with applicable laws.
Families independently choose whether to engage with a Provider and are responsible for confirming fit, expectations, and service details directly with that Provider.

Fox & Cub functions solely as a connection and communication platform.

2. Membership Requirement (All Users)

All users of the Platform, including Families and Providers, must maintain an active monthly membership to access Platform features, including messaging and listings.
Membership fees are non-refundable except as required by law.
Fox & Cub may modify membership pricing or features with notice provided through the Platform.

3. Account Eligibility and Responsibilities

By using the Platform, you represent that you are at least 18 years old and legally able to enter into these Terms.
Information you provide must be accurate and kept current.
You agree to use the Platform respectfully, lawfully, and in good faith.

4. Provider Eligibility and Compliance

Providers represent and warrant that any license, certification, registration, or credential required for their services is valid and in good standing.
Services must be offered within appropriate scope of practice.
All applicable laws, regulations, and professional standards must be followed, including advertising and mandated reporting obligations where applicable.

5. Categories and Payment Structures

A) Membership-to-Message Categories (No Fee Splitting)

For categories including Caregivers, House Cleaners, and Midwives:

Fox & Cub does not take a commission or split service fees.
Families must hold an active monthly membership to message Providers.
Providers set their own pricing and collect payment outside of Fox & Cub using their own invoicing or payment systems.
Fox & Cub is not a party to, and does not enforce, service agreements, payments, cancellations, refunds, or disputes between Families and Providers.

B) Insurance-Covered Service Categories

For insurance-covered services, including but not limited to insurance-covered lactation counseling and licensed therapy:

Listings may display as $0.
Insurance verification and clinical intake occur outside of the Platform using the Provider’s secure systems.
No Protected Health Information (PHI) may be exchanged through Platform messaging.
After insurance verification, Families must complete a $0 checkout on the Platform before each appointment, for up to eight appointments.
Providers will be invoiced $20 per completed appointment, billed monthly.
Invoices are due within seven calendar days. Late payments may incur a 3% late fee per seven-day period, where permitted by law.

6. Required Background Check for All Providers

To create, publish, or maintain any Provider listing on the Platform:

An active monthly membership is required.
A background check is required for all provider categories.
Once membership is active, Providers may pay a non-refundable $30 background check fee to initiate the background check process.
Listings will not publish until the background check has been completed and returned as clear.
If a background check does not come back clear, the listing will not be approved and no refunds will be issued.

Fox & Cub reserves the right, where permitted by law, to deny, suspend, or remove listings based on background check results or safety concerns.

7. Messaging, Responsiveness, and Listing Accuracy

Providers are expected to respond to Platform messages within 48 hours.
Listings must remain accurate, including availability, service area, and contact preferences.
Providers must pause or remove listings if they are no longer accepting clients or offering listed services.

8. Prohibited Conduct (All Users)

Users may not misrepresent credentials, services, availability, pricing, or experience.
Users may not exchange PHI through Platform messaging.
Users may not use the Platform for unlawful, harmful, fraudulent, or abusive activity.
Users may not harass, discriminate against, or endanger others.
Users may not circumvent required Platform workflows once a connection is made through the Platform.

9. Enforcement, Suspension, and Removal

Fox & Cub may suspend or terminate accounts or memberships, remove or restrict listings, or limit Platform access where permitted by law.
These actions may be taken with or without notice to protect safety, compliance, and Platform integrity.

10. Disclaimers

Fox & Cub does not guarantee matches, messages, bookings, or outcomes.
Fox & Cub does not guarantee the conduct, identity, or suitability of any user.
All services are provided solely by Providers, not Fox & Cub.

11. Limitation of Liability

To the maximum extent permitted by law, Fox & Cub is not liable for indirect, incidental, consequential, or punitive damages arising from use of the Platform or services arranged through it.

12. Indemnification

You agree to indemnify and hold harmless Fox & Cub from claims arising from your use of the Platform, your services or communications, or violations of these Terms or applicable law.

13. Governing Law and Venue

These Terms are governed by the laws of the State of California. Venue shall be Santa Rosa, California, unless otherwise required by law.
