Referral Partner Agreement (Doula Services)

This Referral Partner Agreement (“Agreement”) is entered into as of the Effective Date by and between Fox & Cub Family Wellness, Inc. (“Company”) and the undersigned Doula (“Partner”).


1. Purpose

The Company provides matchmaking and referral services to connect families with qualified doulas. This Agreement sets forth the terms under which Partner may receive referrals from the Company.


2. Referral Process

  • When a client expresses interest in doula support, the Company will identify eligible doulas in the client’s area and contact Partner to confirm availability and interest.
  • If Partner confirms, the Company will send the client an email introducing Partner. This email will include Partner’s profile page, which contains Partner’s contract information, pricing, and a description of their services. Partner will be copied on this email.
  • Partner must send the client a separate introductory email within forty-eight (48) hours of being copied on the referral email, to personally introduce themselves and offer to schedule a consultation, unless the client has already contacted Partner directly.
  • If Partner is contacted by the client directly and is notified of the client’s intent to proceed before the Company is notified, Partner must notify the Company immediately.
  • Partner must notify the Company immediately if they accept a contract with another family during the same dates the referred family is seeking support, so scheduling conflicts can be avoided.
  • Partner must also notify the Company once the referred client has executed a contract and paid the retainer. At that time, the Company will issue an invoice for the referral fee.
  • Referral fees must be paid within 5 days of receipt of invoice. Failure to pay within this period will result in a 5% daily interest fee until the balance is paid in full.

3. Referral Fee

  • Partner agrees to pay the Company a flat referral fee of $400 per client.
  • Reduced Referral Fee for Low-Cost Contracts
    If the total value of a client contract is $3,000 or less, the flat referral fee will be reduced to $200. This adjustment is intended to support low-income families, sliding-scale arrangements, and shorter service contracts.
  • The fee becomes due upon confirmation that the client has signed Partner’s contract and paid the retainer.
  • Payment must be made within 5 days of invoice, subject to the late fee provision above.
  • The referral fee is non-refundable.

4. Insurance-Based Clients

  • The Company partners with Raya Health to process insurance-covered doula support.
  • Partner acknowledges that all insurance-based referrals (birth or postpartum) must go through Raya Health.
  • Partner agrees to complete Raya Health’s enrollment process in order to receive insurance client referrals.
  • The Company will not refer insurance clients directly outside of Raya Health.

5. Independent Relationship

  • Partner operates an independent business and is solely responsible for all contracts, retainers, and service delivery to clients.
  • Partner is not an employee, agent, or independent contractor of the Company.
  • Partner is responsible for all taxes, insurance, and compliance with local, state, and federal laws.

6. Professional Requirements

Partner agrees to maintain at all times:

  • Current CPR and First Aid certification (adult and infant). All doulas contracted with Fox & Cub Family Wellness are required to maintain a current CPR certification. Proof of certification must be provided prior to the commencement of services, and updated copies shall be submitted to Fox & Cub promptly upon renewal or upon request. Failure to maintain current CPR certification may result in suspension or termination of this Agreement.
  • Current professional liability insurance with coverage amounts customary for doula services. The Partner shall maintain, at their own expense, professional liability insurance in amounts customary for their profession and scope of services. Proof of such insurance must be provided to Fox & Cub Family Wellness prior to the commencement of services, and updated copies shall be submitted to Fox & Cub promptly upon renewal or upon request. Failure to maintain current liability insurance may result in suspension or termination of this Agreement.
  • All relevant certifications and training required to safely and professionally provide doula support.

7. Liability & Indemnification

Partner acknowledges that the Company does not supervise or control the services Partner provides. Partner agrees to indemnify, defend, and hold harmless the Company, its officers, and affiliates from any claims, damages, or expenses arising from Partner’s conduct, services, or client relationships.


8. Confidentiality

Partner agrees to maintain the confidentiality of all client and Company information and to use such information solely for the purpose of providing doula services. Partner acknowledges that during the course of providing services through Fox & Cub Family Wellness (“Company”), Contractor may have access to confidential and proprietary information belonging to the Company, including but not limited to business practices, policies, client lists, pricing structures, referral networks, educational materials, contracts, and other documentation or information shared by the Company. Partner agrees that all such information, including the terms of this Agreement, shall be kept strictly confidential and shall not be disclosed, shared, or used for any purpose other than the performance of services under this Agreement, without prior written consent from the Company. This obligation of confidentiality shall survive the termination of this Agreement.

NON-SOLICITATION & CLIENT PROTECTION: Partner may operate their own private practice, but agrees not to solicit or market services to any clients introduced through Fox & Cub Family Wellness for a period of 12 months following the original contract signing. If a client initially booked through Fox & Cub wishes to sign a new contract for additional services, that new contract must also be executed through Fox & Cub during the 12-month period following the original contract signing. If a client refers others to the Contractor based on Fox & Cub services, they must be booked through Fox & Cub. Fox & Cub Family Wellness will not advertise the Partners business name on our website or at events organized and funded by the Company.


9. Term & Termination

  • This Agreement will remain in effect until terminated by either party with fourteen (14) days’ written notice.
  • The Company may terminate immediately if Partner fails to pay referral fees, maintain required certifications/insurance, or engages in misconduct.

10. Governing Law

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration in Santa Rosa, CA.


11. Entire Agreement

This Agreement constitutes the full and complete understanding between the parties and supersedes all prior agreements regarding referrals. No modifications are valid unless in writing and signed by both parties.
