INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (“Agreement”) is made and entered by and between Fox & Cub Family Wellness, Inc., a California S‑Corporation (“Company”), and Jacqueline Sparks (“Contractor”).

  1. SERVICES
    Contractor agrees to provide administrative, operational, and/or support services to the Company as reasonably requested. Specific duties and projects will be assigned by the Company on an as‑needed basis. Contractor agrees to perform all services in a professional and timely manner.
  2. INDEPENDENT CONTRACTOR STATUS
    Contractor is engaged as an independent contractor and not as an employee. Nothing in this Agreement shall be construed to create an employer‑employee relationship, partnership, or joint venture. Contractor is solely responsible for all taxes, insurance, and other obligations associated with independent contractor status.
  3. TERM
    This Agreement shall begin on Feb 2nd 2026 and shall continue on a month‑to‑month basis until terminated by either party as provided herein.
  4. HOURS
    Contractor agrees to provide a minimum of four (4) hours of services per week. Additional hours may be requested and approved by the Company as needed.
  5. COMPENSATION
    Contractor shall be compensated at the rate of $35.00 per hour for all approved hours worked.

Payment will be issued weekly on Fridays via QuickBooks direct deposit based on hours submitted and approved for the prior work period.

Contractor agrees to submit an accurate record of hours worked each week in the manner requested by the Company.

  1. EXPENSES
    Any reimbursable expenses must be pre‑approved in writing by the Company. Unapproved expenses will not be reimbursed.
  2. CONFIDENTIALITY
    Contractor acknowledges that during the course of this Agreement, they may have access to confidential or proprietary information. Contractor agrees not to disclose, share, or use any confidential information for any purpose other than performing services for the Company.
  3. WORK PRODUCT
    Any materials, documents, content, or work product created by Contractor in connection with services performed under this Agreement shall be the sole property of the Company.
  4. TERMINATION
    Either party may terminate this Agreement at any time, with or without cause, upon seven (7) days written notice to the other party. The Company may terminate the Agreement immediately for breach of confidentiality, misconduct, or failure to perform agreed‑upon duties.

Upon termination, Contractor will be paid for all approved hours worked up to the date of termination.

  1. COMPLIANCE WITH LAWS
    Contractor agrees to comply with all applicable federal, state, and local laws and regulations in the performance of services under this Agreement.
  2. INDEMNIFICATION
    Contractor agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from Contractor’s performance of services under this Agreement.
  3. ENTIRE AGREEMENT
    This Agreement constitutes the entire understanding between the parties and may be modified only in writing signed by both parties.
  4. GOVERNING LAW
    This Agreement shall be governed by and construed in accordance with the laws of the State of California.
